Terms of Service

1. Who We Are
AutomagicWP is operated by Chris Jayden, an Eenmanszaak (sole proprietorship) registered in the Netherlands. References to "AutomagicWP", "we", "us", or "our" in these Terms refer to Chris Jayden trading as AutomagicWP.

2. Acceptance of Terms
By creating an account or using the AutomagicWP service (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service. You must be at least 18 years old to use AutomagicWP.
3. Description of Service
AutomagicWP is a WordPress plugin distribution platform that allows developers to host, version, and deliver plugin updates to end users via a managed update server and API.
The Service is provided "as is" and subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
4. Free Tier & Paid Plans
AutomagicWP offers a free tier that includes hosting for one (1) plugin with unlimited releases. Additional plugins and features are available on paid subscription plans.
Paid plans are billed through Stripe on a recurring basis (monthly or annually, as selected). By subscribing to a paid plan you authorise us to charge your payment method on a recurring basis until you cancel.
Plan prices are displayed in euros (EUR) and are inclusive of any applicable VAT where required by Dutch or EU law. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
5. Refund Policy
We offer a 30-day money-back guarantee on all paid subscriptions. If you are not satisfied with the Service within 30 days of your first payment, contact us at support@automagicwp.com and we will issue a full refund.
Refund requests made after 30 days are evaluated on a case-by-case basis and are not guaranteed. Refunds are not issued for partial billing periods on cancellation.
EU/EEA consumers retain any statutory rights under Dutch consumer law (Burgerlijk Wetboek) and the EU Consumer Rights Directive that may apply in addition to this policy.
6. Your Account
You are responsible for maintaining the security of your account credentials. You must promptly notify us of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
You may only create one free account per person. Creating multiple accounts to circumvent free-tier limits is prohibited and may result in termination of all associated accounts.
7. Acceptable Use
You agree to use the Service only for its intended purpose: distributing legitimate WordPress plugins to end users. You must not use the Service to upload, distribute, or host:
- Malware or malicious code,including viruses, trojans, ransomware, spyware, adware, backdoors, or any code designed to harm, exploit, or gain unauthorised access to systems.
- Illegal software,plugins or content that violate applicable laws in the Netherlands, the EU, or the jurisdiction of your end users.
- Copyright-infringing material,plugins that incorporate code, assets, or other intellectual property you do not have the right to distribute.
- GPL violations,plugins that distribute GPL-licensed code in violation of its licence terms.
- Nulled or cracked software,redistributions of commercial plugins or themes without authorisation from the original author.
- Privacy-violating plugins,plugins that collect, exfiltrate, or misuse end-user data without appropriate consent or disclosure.
- Spam or phishing tools,anything designed to send unsolicited communications or deceive end users.
We reserve the right to remove any content and suspend or terminate any account that violates these rules, without prior notice and without refund.
8. Prohibited Conduct
In addition to the Acceptable Use restrictions above, you must not:
- Attempt to gain unauthorised access to our systems, infrastructure, or other users' accounts.
- Reverse-engineer, decompile, or disassemble any part of the AutomagicWP platform or API, except as permitted by applicable law.
- Scrape, crawl, or data-mine the Service in an automated manner without prior written consent.
- Deliberately introduce load that disrupts the Service for other users (e.g. denial-of-service attacks).
- Impersonate AutomagicWP or any employee in communications with third parties.
- Resell or sub-license access to the Service without our written permission.
9. Your Content
You retain ownership of the plugin files and content you upload ("Your Content"). By uploading content to AutomagicWP, you grant us a limited, non-exclusive, worldwide licence to store, host, and deliver Your Content solely for the purpose of providing the Service.
You represent and warrant that you have all necessary rights to upload and distribute Your Content and that it does not violate any law or third-party rights.
We do not access, inspect, or use your plugin files for any purpose other than storage and delivery unless required by law or to investigate a reported violation of these Terms.
10. Intellectual Property
The AutomagicWP platform, including its code, design, trademarks, and documentation, is owned by Chris Jayden. These Terms do not transfer any intellectual property rights to you.
The AutomagicWP open-source components (GitHub Action, updater library) are released under their respective open-source licences as specified in their repositories. These Terms govern only the hosted Service.
11. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform scheduled or emergency maintenance, which may temporarily affect service access. We will endeavour to provide advance notice of scheduled maintenance.
AutomagicWP is not liable for any losses caused by downtime, data loss, or service interruption beyond what is required by applicable law.
12. Limitation of Liability
To the fullest extent permitted by Dutch law, AutomagicWP's total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost profits, or loss of data.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Dutch law.
13. Indemnification
You agree to indemnify and hold harmless Chris Jayden (trading as AutomagicWP) from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Content, or your violation of these Terms or any applicable law.
14. Termination
You may cancel your account at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. In cases of termination for cause, no refund will be issued.
On account termination, we will delete your data as described in our Privacy Policy. Plugin files will be removed from our storage within 30 days.
15. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved by contacting us at support@automagicwp.com.
If a dispute cannot be resolved amicably within 60 days, it shall be submitted to the exclusive jurisdiction of the competent court in Overijssel, the Netherlands.
If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16. Changes to These Terms
We may update these Terms from time to time. We will notify registered users by email and update the "Last updated" date at the top of this page at least 14 days before changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
